This page is designed to answer the questions Contracting Officers and Contract Specialists most commonly ask when evaluating a Mentor-Protégé Joint Venture for set-aside award. All regulatory references are to the SBA's regulations at 13 CFR Part 125 and FAR Subpart 19.
An SBA-approved Mentor-Protégé Joint Venture (MP JV) is a formal business arrangement between a large or experienced firm (the Mentor) and a small business (the Protégé), approved by the SBA under 13 CFR § 125.9. The JV is a separate legal entity — in this case, Arctic Fox Government Solutions, LLC — formed specifically to pursue and perform federal contracts.
The SBA's Mentor-Protégé program is designed to strengthen the capabilities of small and socioeconomic small businesses by allowing them to team formally with more experienced firms. The Protégé — Excentium, Inc. — is the managing member of the JV and drives the performance, management, and compliance of all contracts awarded to the JV entity.
Arctic Fox Government Solutions, LLC is an SBA-approved Mentor-Protégé Joint Venture under 13 CFR § 125.9 and § 125.8. The JV agreement was reviewed and approved by the SBA prior to submission on any contract.
The managing member (Excentium, Inc.) is an SBA-certified Service-Disabled Veteran-Owned Small Business (SDVOSB). All Points Logistics serves as the Mentor member.
The socioeconomic status of an MP JV flows from the managing member — Excentium, Inc., an SBA-certified Service-Disabled Veteran-Owned Small Business (SDVOSB). Arctic Fox Government Solutions, LLC is therefore eligible to compete on procurements set aside for SDVOSBs, as well as unrestricted and small business set-aside procurements.
Under 13 CFR § 125.18(b)(3), a joint venture between a protégé firm and its SBA-approved mentor may submit an offer as an SDVOSB joint venture, provided the protégé individually qualifies as an SDVOSB. The JV entity itself does not need to hold independent socioeconomic certification — the managing member's status governs.
The same principle applies to other socioeconomic programs. Arctic Fox's current set-aside eligibility is specifically as an SDVOSB JV based on Excentium's managing member status.
A common concern for COs is whether the JV relationship creates an affiliation issue that would cause the small business to exceed applicable size standards. Under SBA regulations, this concern is directly addressed for approved Mentor-Protégé JVs.
Pursuant to 13 CFR § 121.103(h)(3)(ii), SBA will not find affiliation between a protégé firm and its mentor, or between the protégé and the joint venture, based solely on the Mentor-Protégé relationship or the JV agreement, provided the JV has been approved by SBA. This is a full affiliation exception — not a waiver — meaning the protégé's size is evaluated independently.
Because Arctic Fox is an SBA-approved MP JV, Excentium, Inc. is not considered affiliated with All Points Logistics solely by virtue of their JV relationship. Size eligibility for Excentium (the managing member and protégé) is evaluated on a standalone basis, without aggregating All Points' revenues or employees.
COs should verify size status at the time of offer using SAM.gov and the applicable NAICS size standard. Excentium's size certifications are current and self-certified in SAM.gov. The JV entity (Arctic Fox) is also registered in SAM.gov as a separate legal entity.
SBA regulations at 13 CFR § 125.8(e) govern how work must be distributed within a Mentor-Protégé JV. The core requirement is that the protégé — Excentium, Inc. — must perform the primary and vital requirements of the contract, in addition to the applicable limitations on subcontracting under FAR 52.219-14.
For service contracts, the JV must comply with the applicable limitations on subcontracting under FAR 52.219-14, meaning at least 50% of the cost of personnel for contract performance must be spent on the JV's own employees. Both Excentium and All Points Logistics field direct-hire, cleared technical staff available for contract performance.
The JV agreement specifies the roles, responsibilities, and work distribution between the members and is available to the Contracting Officer upon request as part of the responsibility determination process.
One of the most significant advantages of an SBA-approved Mentor-Protégé JV is the ability to draw on the past performance and qualifications of both member companies when competing for contracts. This is explicitly authorized under SBA regulations and the FAR.
This means Arctic Fox can present — and COs can evaluate and credit — the combined past performance portfolios of both Excentium, Inc. and All Points Logistics. Evaluations should not be limited to contracts performed by the JV entity itself, particularly for a recently formed JV that may not yet have an independent performance record.

When evaluating Arctic Fox proposals, evaluating officials should assess the qualifications, past performance, and certifications of the JV members collectively — not solely those of the JV entity. Restricting evaluation to the JV entity's independent record would be inconsistent with SBA regulations governing Mentor-Protégé JVs and FAR guidance on JV past performance.
Arctic Fox Government Solutions is eligible to compete as a small business under a broad range of IT and IT professional services NAICS codes. Size standard eligibility is based on the managing member (Excentium, Inc.) evaluated independently per the affiliation exception described in Section 03.
